These terms govern participation in the Phanetics Digital Holdings, LLC ("PDH") Affiliate Program. By applying and being accepted, you agree to be bound by these terms.
1. Eligibility
You must be at least 18 years old.
You must provide valid tax information (W-9 for US persons, W-8BEN for non-US individuals, W-8BEN-E for non-US entities) before receiving any payout.
You must comply with the US Federal Trade Commission's endorsement guidelines — disclose the affiliate relationship clearly when promoting PDH products.
The Affiliate Program is not available to current PDH contractors or employees unless explicitly permitted in their agreement.
2. How Attribution Works
Cookie window: 30 days from the first click on your referral link.
Last-click attribution: if a customer clicks multiple affiliate links before purchase, the most recent one wins.
Same-device tracking: attribution is tied to the customer's browser. Clearing cookies, switching devices, or using private browsing may break attribution.
3. Commissions & Payouts
Commission rates vary by product — ranging up to 30%. Specific tiers are disclosed inside your affiliate dashboard after signup.
Some products pay recurring commissions for up to 6 months per referred customer. Your dashboard will indicate which.
Payout cadence: monthly. We close the earning period on the last day of each month, reconcile within 10 business days, and pay on the 15th of the following month (net-30 from the earning period close). This covers the customer refund window.
Minimum payout: $50 USD. Balances below roll over to the following month.
Payout methods: Stripe Connect (direct deposit) or PayPal. No crypto, checks, or wire transfers in v1.
Currency: USD. Non-US affiliates receive payouts converted to their local currency at the payment processor's rate.
4. Refund Clawbacks
If a customer refunds their purchase within the product's refund window (typically 14 days for digital products, 30 days for services, 28 days for B2B Managed Service during the free trial), the associated commission is clawed back and deducted from your next payout. If your balance is negative at payout time, the deficit carries to the next month.
5. Prohibited Promotion Tactics
You may NOT:
Bid on PDH-branded terms (e.g. "phanetics", "phanetics digital", product names) in any paid search platform — this cannibalizes our own ads.
Promote via spam — unsolicited email, forum spam, DM spam on any platform.
Misrepresent PDH, its products, pricing, or terms in any way.
Cookie-stuff, use any automated click-generation tool, or otherwise manipulate attribution.
Promote on adult, gambling, hate-speech, or illegal-activity websites.
Publish PDH-authored content (blog posts, emails, swipe copy we provide) as your own work without attribution.
Promote via coupon or discount aggregator sites without our prior written permission.
Bid on trademarked terms of PDH's competitors on ad platforms (also generally against platform rules).
Violation of any of the above may result in immediate termination of your account and forfeiture of unpaid commissions.
6. FTC Compliance & Disclosure
When promoting PDH products, you must clearly disclose that you may earn a commission. Acceptable disclosures include:
"#ad" or "#sponsored" on social posts
"This post contains affiliate links — I earn a commission if you purchase" on blog posts
Verbal disclosure at the start or end of videos/podcasts
The disclosure must be visible without scrolling or clicking. See FTC's disclosure guidance for examples.
7. Taxes
US affiliates: if you earn $600 or more in a calendar year, PDH will issue you a 1099-NEC by January 31 of the following year. You are responsible for reporting this income.
Non-US affiliates: you are responsible for your own tax reporting in your jurisdiction. W-8BEN on file exempts you from US withholding under most treaties.
PDH does not provide tax advice. Consult your own advisor.
8. Intellectual Property
PDH grants you a limited, non-exclusive, revocable license to use our name, logo, product names, and promotional materials (banner ads, images, swipe copy) solely for the purpose of promoting PDH products during your active participation in the program. You do NOT receive rights to:
Register domain names containing PDH trademarks
Create social accounts impersonating PDH
Use PDH materials in any other commercial capacity
Publish or redistribute PDH-authored training materials, guides, or internal methodology
9. Termination
By PDH: we may terminate any affiliate at any time for cause (violation of these terms, fraud, chargebacks, or behavior damaging to PDH's reputation) with immediate effect and forfeiture of unpaid commissions.
By PDH without cause: we may end the program entirely with 30 days written notice. Commissions earned up to the notice date will still be paid out per normal schedule.
By you: you may terminate your participation at any time by closing your affiliate dashboard account. Pending earned commissions will still pay out.
10. Changes to These Terms
PDH may update these terms with 30 days notice. Commissions already earned will be honored at the rate in effect at the time the sale occurred. Updates will be emailed and posted in your affiliate dashboard.
These terms are governed by the laws of the State of Wyoming. Disputes will be resolved by binding arbitration under AAA commercial rules, with venue in Cheyenne, Wyoming.
